These Terms of Service govern your use of Petals & Stems' website and services. By placing an order or using our services, you agree to these terms. Please read carefully before proceeding.

1. Acceptance of Terms

By accessing petalsandstems.com or placing an order, you confirm that you are at least 18 years of age and have the legal capacity to enter into binding contracts. If you do not agree with any part of these terms, you must not use our services.

2. Products and Services

Product Availability: All products are subject to availability. We reserve the right to discontinue products or modify offerings without notice.

Pricing: Prices are in U.S. Dollars (USD) and subject to change. Prices displayed at time of order confirmation are final. Pricing errors are subject to correction.

Floral Substitutions: Due to seasonal availability and supply constraints, we reserve the right to substitute flowers, foliage, or containers of equal or greater value while maintaining the overall design integrity, color palette, and style of the arrangement.

Custom Orders: Custom design consultations require advance notice. Final approval of custom designs must be obtained before production.

3. Orders and Payment

• • All orders are subject to acceptance and product availability
• • Payment is required at time of order placement
• • We accept Visa, Mastercard, American Express, Discover, PayPal, and Apple Pay
• • Corporate accounts may be established for net-30 payment terms (subject to credit approval)
• • Order confirmations are sent via email within 1 hour of placement
• • You are responsible for providing accurate delivery information
• • International orders may be subject to customs duties and import taxes (buyer's responsibility)

4. Delivery Services

Delivery Areas: We deliver throughout Manhattan and surrounding boroughs. Extended delivery areas may incur additional fees.

Delivery Times: Same-day delivery available for orders placed before 2:00 PM EST on business days. Standard delivery is within 24-48 hours.

Delivery Fee: $25 standard rate. Free delivery on orders over $200. Rush delivery and specific time windows incur additional charges.

Delivery Attempts: If recipient is unavailable, we will attempt delivery at a safe location or with building reception. We are not responsible for arrangements left per delivery instructions.

Weather and Delays: We are not liable for delays caused by severe weather, traffic, building access restrictions, or circumstances beyond our control.

Corporate Deliveries: Multi-building or bulk deliveries require advance scheduling and may incur additional coordination fees.

5. Cancellations and Refunds

• • Standard Orders: May be cancelled up to 24 hours before scheduled delivery for full refund
• • Same-Day Orders: Cannot be cancelled once production has begun
• • Custom/Event Orders: 50% deposit non-refundable; balance refundable up to 7 days before event date
• • Freshness Guarantee: If flowers do not last 7 days with proper care, contact us within 48 hours for replacement or refund
• • Refund Processing: Approved refunds processed within 5-7 business days to original payment method
• • Corporate Subscriptions: May be cancelled with 14 days' written notice

6. Freshness Guarantee

We guarantee our arrangements will remain fresh for 7 days when provided with proper care (water changes, stem trimming, appropriate temperature). This guarantee does not cover:

• • Damage from improper care or handling
• • Exposure to extreme temperatures (below 50°F or above 80°F)
• • Prolonged exposure to direct sunlight
• • Mechanical damage or mishandling
• • Natural bloom cycles of certain flower varieties

7. Corporate Services

Corporate accounts and subscription services are governed by separate service agreements that supplement these terms. Corporate services include:

• • Dedicated account management
• • Custom billing and invoicing arrangements
• • Volume pricing and annual contracts
• • Priority scheduling and delivery windows
• • Detailed service level agreements (SLAs)

8. Intellectual Property

All content on petalsandstems.com, including images, text, logos, designs, floral arrangements, and proprietary design techniques, is the exclusive property of Petals & Stems and protected by copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, or use any content without express written permission.

9. Limitation of Liability

To the fullest extent permitted by law, Petals & Stems is not liable for:

• • Indirect, incidental, consequential, or punitive damages
• • Loss of profits, revenue, data, or business opportunities
• • Delivery delays due to circumstances beyond our control
• • Allergic reactions to flowers, pollen, or plant materials
• • Damage to surfaces or property caused by water, stems, or containers
• • Loss or theft after successful delivery

Our total liability for any claim shall not exceed the amount paid for the specific order in question.

10. Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through:

• • Good faith negotiation between parties
• • Mediation if negotiation fails
• • Binding arbitration in New York County, New York

Class action lawsuits are waived. Individual arbitration is the exclusive remedy.

11. Governing Law

These Terms of Service are governed by the laws of the State of New York, without regard to conflict of law principles. Any legal action must be brought in state or federal courts located in New York County, New York. By using our services, you consent to the personal jurisdiction of these courts.

12. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Material changes will be communicated via email or website notification. Continued use of our services after changes constitutes acceptance of updated terms. Last updated: December 8, 2025.
